I. Purpose

   In order to strengthen the integrity of the company, safeguard the interests of the company, serious work discipline, encourage reporting behavior, the establishment of this system.    

II. Scope

   This system applies to Fujian Kuncai Material Science & Technology Company Limited and its subsidiaries.

III. Administrative rules

1, the company's internal employees and external related personnel can be through the following four ways to the company's Integrity Committee to report fraud within the company's employees, but also to other violations of professional ethics, the company's discipline of the complaint, report, report, complaint channels are as follows:

2, the company advocates, encourages real-name reporting, the whistleblower in the report should be truthfully informed of the name of the whistleblower, the department, while trying to describe the circumstances of fraud and provide appropriate evidence (such as: time, amount, mode of operation, relevant personnel, etc.), so that the Integrity Commission can be quickly investigated and dealt with in a timely manner. In principle, the Independent Commission Against Corruption Committee prioritizes the investigation of the real name of the report, there is evidence or clear clues to the report.

3, in order to protect the enthusiasm of the company's employees to report, but also to avoid a colleague in the reporting process was maliciously vilified, in the report, please note the following points:

(1) the company's Integrity Commission is responsible for reporting letters, e-mails and other reporting materials piece by piece, registration, timely assessment of the acceptance, and the provisions of the 10 working days to leave contact information to the whistleblower to reply to the results of the acceptance; in the event of the complexity of the matter need to resort to external forces of the incident, the time can be extended appropriately.


(2) the company's Integrity Commission does not accept no evidence, no facts, catching wind, hearsay, falsehoods, malicious retaliation type of complaints and reports, if there is evidence found that some people report maliciously, retaliation against the report, the company's Integrity Commission will be related to the transfer of the relevant personnel to the administrative department for punishment.


(3) the company in the release of formal complaints, reports after the way, no longer accept through mass mail, mass WeChat and other ways of complaints, reports.


4, the company's Integrity Committee after the registration of reporting information, should be based on the reported person's position or post, the reported incident and the severity of the situation, and in accordance with the following provisions of the work:

(1) for the ministerial staff below the real name of the report, the company's Independent Commission Against Corruption Committee deliberated the establishment of an investigation team, the incident is investigated, the results of the investigation reported to the general manager; for the ministerial staff below the anonymous report, the Independent Commission Against Corruption Committee to carry out a preliminary assessment, depending on the adequacy of reporting materials, to decide whether to carry out an investigation, the decision to investigate the incident was also set up to investigate the same investigation team, by the investigation team to check the veracity of the investigation report is formed to report to the The general manager or chairman of the company.

(2) involving the company's ministerial level (including) or more managers of the real name of the report, the company's Integrity Committee will be reported to the chairman of the company in the first time, the chairman of the company decided to do further investigation of the incident, by the Integrity Committee and the relevant departmental management personnel together to form a special investigation team to conduct a joint investigation, but also depending on the circumstances of the case to hire external experts, hand over to the criminal investigation department to participate in, to assist in the investigation, and ultimately the formation of the investigation report Report to the chairman.

5, after the incident investigation, the Integrity Commission shall promptly submit a written investigation report to the general manager or chairman, the investigation report should include:

(1) the time of acceptance of the report on the incident under investigation; (2) the composition of the investigation team; (3) the investigation and verification of the incident; (4) the conclusion on whether it is true or not; and (5) the recommendations on the handling of the relevant personnel.

Relevant evidence, exhibits or testimony found in the course of the investigation shall be appended and noted in the investigation report.

6, for the real name of the report, regardless of whether or not the investigation, the Integrity Commission shall provide feedback to the whistleblower the results of the report; for the obvious facts of fraud, clues, evidence of anonymous reports, the investigation is true, the Integrity Commission will be in the public way of publicizing the results of the investigation.

7, complaints, reports, to assist in the normal work of the investigator in the company's protection by the company, the relevant complaints, reports, to assist in the investigation of information for the company's first-class confidential information; the company prohibits complaints, reports, to assist in the investigation of any discrimination, retaliation or hostile, isolation measures; violation of the disclosure of complaints, reports, to assist in the investigation of information or complaints, reports, to assist in the investigation of retaliation against the investigator, depending on the circumstances of the case to be punished, dismissal, termination of the labor contract (and do not need to carry out any economic compensation, compensation), violation of the law, the judicial organs shall be transferred to deal with according to law.

IV. Criteria for reporting incentives

1, the amount of economic losses recovered 10,000 (excluding) yuan, according to the actual amount of economic losses recovered 10% of the award, and the amount of the award is not less than 500 yuan;


2、Recovering economic losses amounting to 10000-50000 (not including) yuan, according to the actual recovery of economic losses amount of 5% of the award, and the award amount is not less than 1000 yuan;


3, to recover economic losses amounting to 50,000 (including) yuan or more, according to the actual amount of economic losses recovered 3% of the award, and the award amount is not less than 2,500 yuan, not more than 100,000 yuan.


4, for the amount of money is not involved or although the amount of money involved but has been irretrievable fraud, violations of the matter, depending on the severity of the circumstances, a one-time award to the whistleblower of 500 yuan, 1,000 yuan, 3,000 yuan, 5,000 yuan, four grades of awards ranging.


V. Penalties for fraud and violations

Employees of the company who have been reported, verified and found to have committed fraud or violations will be punished according to the severity of the situation, including but not limited to: written criticism, notification of criticism, warning, demerit, payment back, termination of employment contract (and without any financial compensation, compensation), transfer to the judicial organs for processing, and so on.
